The Corporate Transparency Act
The Corporate Transparency Act went into effect on January 1, 2024. The Act requires that the majority of small businesses file a Beneficial Ownership Information report. In the report, information that identifies the individuals who directly or indirectly own or control the business is disclosed.
The deadline for filing the report for current businesses launched prior to January 1st of 2024 is the first of January in 2025. A new enterprise registered after the first of January in 2024 has three months to file the report. Businesses registered in the days after January 1, 2025 have 30 days to file.
Though there are some exceptions, the majority of small business clients are affected in the ongoing push for corporate transparency. Failure to comply results in a significant penalty that has the potential to reach $591 per day with additional criminal penalties tacked on.
